ZK Eagle (Shenzhen) Technology Co., Ltd. (hereinafter referred to as "Eagle Technology") hereby specially reminds users to carefully read and fully understand this "User Agreement" (hereinafter referred to as "this Agreement"). Users should carefully read and fully understand all terms of this Agreement, especially those related to the exemption or limitation of Eagle Technology's liability, dispute resolution, and applicable law. Terms of exemption or limitation of liability will be highlighted in bold for your special attention. Please read carefully and choose to accept or not accept this Agreement (minors should read in detail accompanied by their legal guardians). Your use of the ZKEagle APP (hereinafter referred to as "this APP" or "this software") and other actions will be deemed as acceptance of this Agreement and agreement to be bound by its terms. If you do not agree with this Agreement, please do not use this APP. Eagle Technology reserves the right to amend this Agreement, and the updated terms will be published on this APP and will take effect from the date of publication.
1.1 This APP is software provided by Eagle Technology for connecting to earphones, speakers, and translator products released by Eagle Technology and its partner companies. The ownership and operation rights of this software and related services belong to Eagle Technology.
1.2 This Agreement is an agreement between you (hereinafter referred to as "User") and Eagle Technology, its partner companies, and operation partners (hereinafter referred to as "Partner Units") regarding your use of this APP and related services.
1.3 This software and services include:
1.3.1 The software provides connection and binding with ZKEagle, function settings management, and other software services for users of ZKEagle, subject to the actual software services provided by this APP.
1.3.2 Updates, upgrades, and other services of this software.
1.4 Users must understand that Eagle Technology only provides this software and related services. All other costs required for equipment related to this software and services (such as terminal costs for this software, internet access fees) shall be borne by the user. At the same time, using this software client and related services will consume the user's device, bandwidth, traffic, and other resources.
2.1 Eagle Technology grants the user a personal, non-transferable, non-sublicensable, and non-exclusive license for this software.
2.2 Users may install, use, display, and run this software on a single mobile terminal device for non-commercial purposes. However, users may not install, use, or run this software for commercial operation purposes, nor may they copy, change, modify, hook, run, or create any derivative works from the data released to any terminal device memory during the operation of this software or the client-server interaction data during the operation of this software, including but not limited to using plug-ins, add-ons, or unauthorized third-party tools/services to access this software and related systems. If commercial sales, copying, and distribution are required, such as software pre-installation and bundling, written authorization and permission from Eagle Technology must be obtained.
2.3 Users may not install this software on other terminal devices not expressly permitted by Eagle Technology without permission, including but not limited to TVs, digital set-top boxes, game consoles, and other devices.
2.4 Users may make one copy of this software for backup purposes only to use this software and services. The backup copy must contain all copyright information contained in the original software.
2.5 Except as expressly authorized in this Agreement, Eagle Technology does not grant users other rights. If users wish to use other rights, they must obtain written consent from Eagle Technology separately.
3.1 Users should download and install this software in the manner authorized or designated by Eagle Technology. Please note that you should not download this software from unknown websites to avoid malicious software infections on your mobile device, which could damage user data and allow malicious software to access user privacy information. If you obtain this software from a third party not authorized by Eagle Technology or install a program with the same name as this software, Eagle Technology cannot guarantee that the software will function normally, and Eagle Technology shall not be liable for any losses caused thereby.
3.2 Users must select a software version suitable for the terminal device being installed. Otherwise, any software issues, device problems, or damage caused by the incompatibility between the software version and the device model shall be entirely the user's responsibility.
3.3 To improve user experience and enhance service content, Eagle Technology has the right to provide users with replacement, modification, and upgraded versions of this software from time to time. This software defaults to enabling the "upgrade prompt" function for users. Depending on the software version used, Eagle Technology allows users to choose whether to enable this function. After the release of a new software version, Eagle Technology does not guarantee the continued availability of older versions.
4.1 Users may use this software and services in accordance with this Agreement while complying with laws and this Agreement. Users shall not engage in the following behaviors:
4.1.1 Delete all copyright information on this software and other copies, or modify, delete, or circumvent the technical measures set by this software to protect intellectual property rights.
4.1.2 Reverse engineer this software, such as disassembling, decompiling, or other attempts to obtain the source code of this software.
4.1.3 Modify or forge instructions and data during the operation of the software, add, delete, or change the functions or effects of the software, or operate or publicly disseminate software or methods used for the above purposes, regardless of whether these actions are for commercial purposes.
4.1.4 Use this software to engage in any behavior that endangers network security, including but not limited to: using unauthorized data or accessing unauthorized servers/accounts; entering public networks or others' operating systems without permission and deleting, modifying, or adding stored information; attempting to probe, scan, or test the vulnerabilities of this software's system or network or other actions that undermine network security; attempting to interfere with or disrupt the normal operation of this software system or website, intentionally spreading malicious programs or viruses, and other actions that disrupt normal network information services; forging TCP/IP packet names or partial names.
4.1.5 Users log in or use this software and services through third-party compatible software or systems not developed, authorized, or approved by Eagle Technology, or produce, publish, or disseminate such tools.
4.1.6 Without written consent from Eagle Technology, users shall not perform the following actions on the software and its information, including but not limited to: using, renting, lending, copying, modifying, linking, reprinting, compiling, publishing, establishing mirror sites, unauthorized development of derivative products, works, services, plug-ins, add-ons, compatibility, interconnection, etc., related to this software.
4.1.7 Use this software to publish, transmit, disseminate, or store content that violates local laws.
4.1.8 Use this software to publish, transmit, disseminate, or store content that infringes on others' intellectual property rights, trade secrets, and other legal rights.
4.1.9 Use this software to batch publish, transmit, or disseminate advertising information and spam.
4.1.10 Other uses of this software and other services provided by Eagle Technology in any illegal manner, for any illegal purpose, or in any manner inconsistent with the permitted use under this Agreement.
4.2 Information Publishing Specifications
4.2.1 If you use this software to publish information content (if any), you shall ensure that you own the intellectual property rights of the content you upload or have obtained legal authorization, and that your use of this software and services does not infringe on any third party's legal rights.
4.2.2 When using this software, users shall not engage in the following behaviors, including but not limited to:
4.2.2.1 Producing, copying, publishing, transmitting, disseminating, or storing content that violates local national laws and regulations.
4.2.2.2 Publishing, transmitting, disseminating, or storing content that infringes on others' reputation rights, portrait rights, intellectual property rights, trade secrets, and other legal rights.
4.2.2.3 Fabricating facts or concealing the truth to mislead or deceive others.
4.2.2.4 Publishing, transmitting, or disseminating advertising information and spam.
4.2.2.5 Engaging in other behaviors that violate local laws and regulations.
4.2.3 Without permission from Eagle Technology, users shall not conduct any commercial activities in this software, such as publishing advertisements or selling goods.
4.3 Users understand and agree:
4.3.1 Eagle Technology will determine whether a user has violated the above usage specifications and, based on the determination results, suspend, terminate the user's license, or take other restrictive measures permitted by this Agreement.
4.3.2 For information published by users using the licensed software that is suspected of violating laws or infringing on others' legal rights or violating this Agreement, Eagle Technology will delete it directly.
4.3.3 If a user's violation of the above usage specifications causes damage to a third party, the user shall independently bear legal responsibility in their own name and ensure that Eagle Technology is exempt from any losses or increased costs resulting therefrom.
4.3.4 If a user violates relevant laws or the terms of this Agreement, causing losses to Eagle Technology, claims from third parties, or penalties from administrative authorities, the user shall compensate Eagle Technology for the losses and/or expenses incurred, including reasonable attorney fees and investigation costs.
5.1 Users understand and agree that this software system may contain services provided by Eagle Technology's affiliates or third parties. Eagle Technology only provides relevant functional modules in the system for user convenience, offering access to third-party services.
5.2 Whether third-party services are pre-installed in this software system services or activated or subscribed to by users, users understand and agree that Eagle Technology makes no express or implied warranties or guarantees regarding the legality, validity, or security of third-party service providers or user behaviors, or the legality, accuracy, validity, or security of third-party services.
5.3 Eagle Technology does not supervise third-party services, has no control over them, provides no form of warranty or guarantee for them, and assumes no responsibility for them.
5.4 Any disputes between users and third-party service providers shall be resolved by the user and the provider according to the third-party service provider's business processes and specifications. Eagle Technology shall not be liable.
6.1 Eagle Technology promises to protect user privacy in accordance with the privacy policy. For details, please see: "ZKEagle App Privacy Policy".
7.1 Eagle Technology has the right to determine whether a user's behavior complies with the terms of this Agreement. If it is determined that the user violates relevant laws and regulations or the terms of this Agreement and related rules, Eagle Technology may take measures such as deleting non-compliant information, restricting, suspending, or terminating the user's use of this software service, pursuing the user's legal liability, and other measures deemed appropriate by Eagle Technology, depending on the severity of the violation. If Eagle Technology suffers any losses (including but not limited to claims from any third party or penalties from administrative authorities), the user shall bear full responsibility.
8.1 Eagle Technology provides service support with current technology. Eagle Technology does not guarantee that this software service will be uninterrupted or error-free, that all defects will be corrected, or that this software service will meet all user requirements. Eagle Technology shall not be liable for any consequences arising therefrom.
8.2 Eagle Technology shall not be liable for any losses suffered by users due to third parties, such as communication line failures, technical issues, networks, computer terminal equipment failures, system instability, and other force majeure reasons.
8.3 Eagle Technology does not guarantee the legality, authenticity, accuracy, or validity of the information content obtained through this software (including but not limited to third-party service content) and shall not be liable for any results of user actions based on queries or viewing.
8.4 Like most internet software, this software is subject to various security threats due to differences in user reasons, network service quality, social environment, and other factors, such as others using user data to cause harassment in real life; other software downloaded and installed by users or other websites visited containing "Trojan horse" viruses that threaten the security of user terminal device information and data, thereby affecting the normal use of this software, etc. Users should enhance awareness of information security and protection of user data, strengthen password protection to avoid losses and harassment.
8.5 When users use this software or request Eagle Technology to provide specific services, this software may call third-party systems or third-party software to support user use or access. The results of such use or access are provided by the third party. In addition to complying with the relevant rules of this Agreement, users must also comply with the third party's agreement and relevant rules. Users must understand and agree that when using third-party services, the third party may read user data. Eagle Technology does not guarantee the security, accuracy, validity, or other uncertain risks of the results achieved through third-party systems or software. Users should exercise prudent judgment, and any disputes or damages arising therefrom shall not be the responsibility of Eagle Technology.
8.6 Eagle Technology specially reminds users that to ensure the autonomy of company business development and adjustments, Eagle Technology may modify or interrupt services at any time after notifying users in a reasonable manner.
8.7 Except as expressly provided by laws and regulations, Eagle Technology will make every effort to ensure the security, effectiveness, accuracy, and reliability of the software and the technologies and information involved, but limited by current technology, users understand that Eagle Technology cannot guarantee this.
8.8 Eagle Technology shall not be liable for any personal injury or incidental, indirect economic damages caused by or related to any of the following circumstances, including but not limited to loss of profits, data loss, business interruption damages, or other commercial damages or losses, which shall be borne by the user:
(1) Use or failure to use the licensed software.
(2) Unauthorized use of the software or alteration of user data by a third party.
(3) Fees and losses incurred by user actions using the software.
(4) User misunderstanding of the software.
(5) Other losses related to the software not caused by Eagle Technology.
8.9 Users agree that Eagle Technology has the right to suspend, interrupt, or terminate the provision of all or part of the services to users based on judicial, regulatory, or supervisory requirements or its own business reasons. Eagle Technology shall not be liable for this.
8.10 Users understand and agree that Eagle Technology will make commercially reasonable efforts to ensure the security of user data stored in this software and services, but Eagle Technology cannot provide complete guarantees. Users must understand that Eagle Technology is not responsible for the deletion, storage, or backup failure of data in the services.
9.1 Eagle Technology is the intellectual property rights holder of this software. All intellectual property rights of this software, including but not limited to copyrights, trademarks, patents, trade secrets, and all information content related to this software (including but not limited to text, images, audio, video, charts, interface design, layout frameworks, relevant data, or electronic documents, etc.) are protected by local laws and regulations and relevant international treaties. Eagle Technology enjoys the above intellectual property rights.
9.2 Without written consent from Eagle Technology, users shall not use or permit any third party to use, exploit, or transfer the above intellectual property rights for any commercial or non-commercial purpose. Eagle Technology reserves the right to pursue legal liability for such actions.
10.1 Eagle Technology has the right to modify the terms of this Agreement when necessary. Once the terms are modified, the revised terms will be published on the relevant page. If you do not agree with the modified content, you should actively cancel this service. If you continue to use the service, you will be deemed to have accepted the modified terms.
10.2 Eagle Technology has the right to modify or change the provided fee-based services, charging standards, charging methods, service fees, and service terms as needed. When providing services, Eagle Technology may now or in the future charge certain fees for some services. If you refuse to pay such fees, you will not be able to continue using the relevant services after the charging starts.
11.1 The validity and interpretation of this Agreement shall be governed by the laws of Mainland China. If there are no relevant legal provisions, international commercial practices and/or commercial practices shall be referred to.
11.2 This Agreement is signed in Longhua District, Shenzhen City, Guangdong Province.
11.3 Both the user and Eagle Technology agree that any disputes arising from this service shall be resolved through negotiation. If negotiation fails, either party may submit the dispute to the competent court in the place where this Agreement is signed for litigation.
12.1 Any specific services of this software may have individual agreements and related business regulations (hereinafter collectively referred to as "individual agreements"). Therefore, before using such specific services, please read and agree to the relevant individual agreements.
12.2 This Agreement was updated on [July 22, 2025].
12.3 The headings of all clauses in this Agreement are for convenience only and have no actual meaning. They cannot be used as a basis for interpreting the meaning of this Agreement.
12.4 If any clause of this Agreement is invalid or unenforceable for any reason, the remaining clauses shall remain valid and binding on both parties.
